Terms & Conditions

1. Who you're contracting with

Meridian ("the Service") is provided by Jamaldin Ramadhan Keitany("we", "us", "our"), trading as Meridian. By creating an account or using the Service you ("you", "user") agree to these Terms & Conditions. If you do not agree, do not use the Service.

2. Acceptance

By signing up, accessing or continuing to use Meridian you accept these terms. If you are using Meridian on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

Meridian is an AI-native workspace for deal professionals, providing document ingestion, meeting notes, WhatsApp integration, and related intelligence features. We do not guarantee uninterrupted or error-free performance.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service for any unlawful purpose;
  • commit fraud, send spam, or impersonate others;
  • infringe any intellectual property or privacy rights;
  • interfere with security, including by introducing malware, probing, scraping or attempting to gain unauthorized access.

5. Account, accuracy and credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

6. Intellectual property

We retain all rights, title and interest in the Service, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your selected plan. You may not reverse engineer, resell, redistribute or circumvent technical limits of the Service.

7. Your content

You retain ownership of content you upload. You grant us a limited license to host and process your content solely to provide the Service.

8. AI-generated outputs

Meridian uses generative AI. Outputs may be inaccurate or incomplete and are not a substitute for professional advice (legal, financial, tax, or otherwise). You are responsible for your prompts, your use of outputs, and for verifying accuracy. You must have the rights to any content you input. We may moderate, filter, or restrict outputs and suspend accounts that misuse the Service (e.g. illegal content, deepfakes, hate speech, malware, jailbreaking).

9. Payments, subscriptions and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy.

10. Suspension and termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, we will provide a reasonable export window before deleting your data.

11. Warranties and liability

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, including implied warranties of merchantability and fitness for a particular purpose. Our aggregate liability is capped at the fees you paid in the 12 months preceding the claim. We exclude liability for indirect, consequential or special damages (including loss of profits, data, or goodwill). Nothing in these terms excludes liability for fraud, death or personal injury where excluded by law.

12. Indemnity

You will indemnify us against claims arising from your content, unlawful use of the Service, or breach of these terms.

13. Governing law

These terms are governed by the laws of the seller's jurisdiction, and disputes are subject to the exclusive jurisdiction of the courts there.

14. Changes

We may update these terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
